Contract review is not a proofreading exercise. We look for the clauses that determine payment, performance, termination, liability, governing law and enforcement, then compare them with the commercial deal the parties believe they have agreed.
Parties and Authority
Check who the counterparty is, whether the signatory is authorised to bind the company and whether the identification details are correct.
Price and Payment
The amount, currency, taxes, payment stages, role of invoices or acceptance documents and consequences of delay should all be clear.
Liability and Allocation of Risk
Penalties, damages, liability caps, warranties and force majeure provisions should work together rather than create an unintentionally one-sided result.
Termination and Dispute Resolution
The contract term, early termination rights, form of notice, governing law and court or arbitration clause all matter. These provisions are particularly important in international agreements.
